Our refund and cancellation terms

1. Introduction

Welcome to vSkul ("we," "our," or "us"). These Terms of Service ("Terms") govern your access to and use of the vSkul platform, website (vskul.com), and services (collectively, the "Services"). By accessing or using our Services, you agree to be bound by these Terms.

If you do not agree to these Terms, you may not access or use our Services. Please read these Terms carefully before using vSkul.

2. Definitions

For the purposes of these Terms:

  • "Student" means any user who enrolls in, purchases, or accesses courses on the platform.
  • "Instructor" means any user who creates and publishes courses on the platform.
  • "Content" means all materials, including videos, text, images, audio, documents, and assessments available on the platform.
  • "Account" means your registered user account on vSkul.
  • "Services" means all features, tools, and functionalities provided by vSkul.

3. Eligibility and Account Registration

3.1 Age Requirement

You must be at least 18 years old to create an account and use our Services. If you are under 18, you may only use our Services under the supervision of a parent or legal guardian who agrees to be bound by these Terms.

3.2 Account Creation

To access certain features, you must create an account by providing accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use of your account
  • Ensuring your contact information is up to date

3.3 Account Termination

We reserve the right to suspend or terminate your account if you violate these Terms or engage in fraudulent, abusive, or illegal activities.

4. Student Terms

4.1 Course Enrollment

When you enroll in a course, you receive a limited, non-exclusive, non-transferable license to access and view the course content for personal, non-commercial use only.

4.2 Payment and Pricing

  • All prices are displayed in Nigerian Naira (₦)
  • Payments are processed through secure third-party payment processors (Paystack, Flutterwave)
  • Prices may change at any time, but changes will not affect courses already purchased
  • All sales are final unless stated otherwise in our Refund Policy

4.3 Access to Content

  • You have lifetime access to purchased courses unless the course is removed by the instructor or vSkul
  • Access may be revoked if you violate these Terms
  • We do not guarantee that courses will be available indefinitely
  • Course content may be updated or modified by instructors

4.4 Prohibited Student Conduct

You agree NOT to:

  • Share your account credentials with others
  • Download, copy, or redistribute course content without authorization
  • Use screen recording or any other method to capture course content
  • Resell, sublicense, or commercialize any course content
  • Use course content to create competing products or services
  • Submit fraudulent payment information or initiate chargebacks without valid reason

5. Instructor Terms

5.1 Content Ownership and License

You retain ownership of all content you upload to vSkul. By publishing content, you grant vSkul a worldwide, non-exclusive, royalty-free license to:

  • Host, store, and display your content on the platform
  • Distribute your content to enrolled students
  • Use your content for marketing and promotional purposes
  • Create derivative works for platform optimization (e.g., transcriptions, translations)

5.2 Revenue Sharing

vSkul operates on a 75/25 revenue sharing model:

  • Instructors receive 75% of the net revenue from course sales
  • vSkul retains 25% for platform operations, hosting, and support
  • Revenue is calculated after payment processor fees
  • Payouts are processed weekly to verified bank accounts
  • Minimum payout threshold is ₦5,000

5.3 Content Standards

All course content must:

  • Be original or properly licensed
  • Provide genuine educational value
  • Be free from plagiarism, copyright infringement, or trademark violations
  • Not contain harmful, offensive, or illegal material
  • Comply with all applicable laws and regulations
  • Be accurately described and categorized

5.4 Prohibited Instructor Conduct

You agree NOT to:

  • Upload plagiarized or copyrighted material without permission
  • Create misleading course titles or descriptions
  • Manipulate reviews or ratings
  • Contact students outside the platform for commercial purposes
  • Engage in artificial enrollment schemes or fraud
  • Upload malicious software or viruses

5.5 Course Removal

We reserve the right to remove any course that violates these Terms, infringes on intellectual property rights, or fails to meet our quality standards. Instructors will be notified before removal unless immediate action is required.

6. Intellectual Property Rights

6.1 vSkul Property

The vSkul platform, including its design, features, functionality, software, and branding, is owned by McAriel Consult and protected by Nigerian and international intellectual property laws.

6.2 Content Ownership

  • Instructors retain ownership of their course content
  • Students do not acquire ownership rights to course content through purchase
  • User-generated content (comments, reviews, forum posts) is licensed to vSkul

6.3 Copyright Infringement

We take copyright infringement seriously. If you believe your work has been copied in a way that constitutes copyright infringement, please contact us at legal@vskul.com with:

  • Description of the copyrighted work
  • URL of the infringing content
  • Your contact information
  • A statement of good faith belief
  • A statement of accuracy under penalty of perjury

7. Privacy and Data Protection

Your privacy is important to us. Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using our Services, you consent to our data practices as described in the Privacy Policy.

8. Refunds and Cancellations

Our refund policy is outlined in detail in our Refund Policy. In summary:

  • Students may request refunds within 30 days of purchase
  • Course completion must be less than 30%
  • Refund requests are reviewed on a case-by-case basis
  • Some purchases may be non-refundable as stated at the time of purchase

9. Live Sessions and Interactive Features

9.1 Live Streaming

vSkul offers live streaming capabilities for instructors. By participating in live sessions:

  • You agree to be recorded (video and audio may be stored)
  • You grant permission for session recordings to be made available to enrolled students
  • You agree to maintain professional conduct during live sessions
  • You acknowledge that vSkul is not responsible for technical issues affecting live streams

9.2 Community Forums and Comments

  • Users must maintain respectful communication
  • Harassment, spam, or inappropriate content is prohibited
  • We reserve the right to moderate, edit, or remove any user-generated content
  • You are responsible for the content you post

10. Disclaimers and Limitations of Liability

10.1 Service Availability

We strive to provide uninterrupted access to our Services, but we do not guarantee:

  • Continuous, uninterrupted, or error-free operation
  • That defects will be corrected
  • That the Services are free from viruses or harmful components
  • The accuracy or reliability of course content

10.2 Educational Disclaimer

vSkul is an educational platform. We do not:

  • Guarantee employment or specific outcomes from completing courses
  • Verify the credentials of all instructors (though we conduct reasonable screening)
  • Endorse or take responsibility for instructor opinions or content accuracy
  • Provide professional certifications unless explicitly stated

10.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VSKUL AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Damages exceeding the amount you paid to vSkul in the past 12 months
  • Issues arising from third-party services, payment processors, or internet connectivity

11. Indemnification

You agree to indemnify, defend, and hold harmless vSkul, McAriel Consult, and our officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your violation of these Terms
  • Your use of the Services
  • Your content or courses
  • Your infringement of any third-party rights

12. Modifications to Terms

We may modify these Terms at any time. Changes will be effective when posted on this page with an updated "Last Updated" date. Continued use of the Services after changes constitutes acceptance of the modified Terms.

For significant changes, we will provide notice via:

  • Email notification to registered users
  • Platform announcement banner
  • In-app notification

13. Termination

13.1 By You

You may terminate your account at any time by contacting support or using the account deletion feature. Upon termination:

  • Your access to purchased courses will cease
  • No refunds will be provided for unused course access
  • Your personal data will be handled according to our Privacy Policy

13.2 By vSkul

We may terminate or suspend your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent activity
  • Upload illegal or harmful content
  • Fail to pay amounts owed
  • Engage in behavior that harms vSkul or other users

14. Governing Law and Dispute Resolution

14.1 Governing Law

These Terms are governed by the laws of the Federal Republic of Nigeria, without regard to conflict of law principles.

14.2 Dispute Resolution

Any disputes arising from these Terms or use of the Services shall be resolved through:

  1. Informal Negotiation: Contact us at legal@vskul.com to attempt resolution
  2. Mediation: If negotiation fails, parties agree to mediation before litigation
  3. Jurisdiction: Legal proceedings shall be conducted in the courts of Nigeria

15. Miscellaneous

15.1 Entire Agreement

These Terms, along with our Privacy Policy and Refund Policy, constitute the entire agreement between you and vSkul.

15.2 Severability

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.

15.3 Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

15.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign our rights and obligations without restriction.

15.5 Third-Party Services

Our Services may contain links to third-party websites or services. We are not responsible for the content, privacy policies, or practices of any third-party services.
